Hi dude. First off let me start by saying I have almost the same setup you are using. I am using drake 6.1 on a modem, but sharing it with my 98 (which is masqueraded under my linux box and firewall). This is what I recommend.
1. Goto http://www.oreilly.com and look at the product list. Find the one on using SAMBA. It is a free download. You need SAMBA to network your linux computer and the 98 one. Expect some difficulty, as it takes some trail and error to get right.
2. Since you are using a cable modem (lucky bugger) you ***NEED*** a firewall. I recommend going to google.com and searching for PMFirewall and also portsentry. Setup both of those on your linux system ( I am assuming that your going to use linux box as your gateway).
3. How much do you know about networking? I would suggest going to the NHF section and download all the newbie Help files that you think pertain and READ READ READ. The more you know the better off you are. Let me know if you need anything else.

For some reason, the latest version of PMFirewall doesn't have the "echo "1" > /proc/sys/net/ipv4/ip_masq_udp_dloose" anymore. This will make UDP games (notably Battle.net Starcraft) run slow. Just add the line above to /etc/rc.d/rc.local to fix it.
Another choice might be Firestarter. This is a graphical firewall builder and is pretty nice. I don't know if it does the UDP thing or not. If you choose this, don't forget to switch the default "deny" to "reject."
For file sharing, read up on using SWAT (Samba Web Admin Tool or something). This let's you create shares easily, restart SMBD (Samba file server), and other mundane tasks.
Then get Linneighborhood from www.rpmfind.net (http://www.rpmfind.net) . This is a frontend for smbclient (which is a PITA to use from the CLI). I think there are also ways to integrate Samba into KFM but I'm not sure. I'm (obviously?) a GNOME person.

Download the free Samba book from O'Reilly because Samba ain't that easy (at first, anyway). Also, you might want to give Easychains a try for your firewall and IP Maquerading requirements (IP Masquerading is what lets you share one Internet connectin amongst multiple clients).
Also refer to the numerous messages posted on this newsgroup over the last couple of days related to networking Linux with that other operating system. http://www.linuxnewbie.org/ubb/biggrin.gif
